Welcome to Merchant Matrix. By accessing or using our software-as-a-service platform (“Service”), you agree to comply with and be bound by these Terms of Service (“Terms”). Please read them carefully before using our platform.
If you do not agree with these Terms, do not use our Services.

1. Acceptance of Terms

These Terms form a binding legal agreement between Merchant Matrix, Inc. (“Merchant Matrix”, “we”, “our”, or “us”) and the user (“you”, “user”, “client”, “partner”). Your use of the Services constitutes acceptance of these Terms, our Privacy Policy, and any applicable additional terms.

Merchant Matrix provides financial technology tools that assist funders, brokers, and underwriters with:
  • Automated parsing and analysis of bank statements
  • Risk assessment and fraud detection
  • Fundability scoring and loan application review
  • Data insights and reporting tools
We reserve the right to modify, update, or discontinue any part of the Services at our discretion, with or without notice.

4. User Accounts

To access the platform, you must register and create an account. You agree to:
  • Provide accurate and complete information
  • Maintain confidentiality of your login credentials
  • Accept responsibility for all activity under your account
We reserve the right to suspend or terminate accounts suspected of unauthorized use, fraud, or breach of these Terms.

5. Data Use and Privacy

By using our Services, you authorize Merchant Matrix to collect, process, and analyze data you provide, including but not limited to personal, business, and financial documents. Our use of this data is governed by our Privacy Policy.
You retain all rights to your data, except as necessary for us to deliver and improve the Services.

6. License and Restrictions

Merchant Matrix grants you a limited, non-exclusive, non-transferable license to access and use the platform solely for lawful, internal business purposes. You may not:
  • Reverse engineer, decompile, or modify the platform
  • Share access credentials with unauthorized users
  • Use the platform to engage in illegal, deceptive, or fraudulent activities
  • Scrape, extract, or distribute data outside the intended use cases
  • Bypass security features or interfere with platform functionality

7. Intellectual Property

All content, software, trademarks, and proprietary technology used in the Services are the exclusive property of Merchant Matrix or its licensors. You may not reproduce, redistribute, or create derivative works without our written consent.

8. Third-Party Services

The platform may integrate with or link to third-party services. We are not responsible for the content, availability, or security of those services. Your use of third-party platforms is governed by their own terms and privacy policies.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy, completeness, or reliability of any data or recommendations generated by the platform.

10. Limitation of Liability

To the fullest extent permitted by law, Merchant Matrix shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:
  • Loss of data or profits
  • Business interruption
  • Unauthorized access to your information
Our total liability in any matter arising out of or related to these Terms or the Services shall not exceed the amount you paid to us in the preceding 12 months.

11. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Services if:
  • You breach these Terms
  • You engage in unlawful conduct
  • Required by legal or regulatory authorities
Upon termination, your access will cease, and your data will be handled in accordance with our data retention policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

13. Changes to Terms

We reserve the right to update these Terms at any time. When we do, we will revise the “Effective Date” and provide notice via the platform or email. Continued use of the Services after changes become effective constitutes acceptance of the new Terms.
